An act relating to principal offices of limited

liability companies and corporations; amending ss.

605.0113 and 607.0501, F.S.; providing that a limited
5
liability company or corporation, foreign or domestic,
6
may designate its registered agent's address as the
7
principal office of such company or corporation;
8
requiring that certain limited liability companies or
9
corporations, foreign or domestic, provide the
10
Department of State with the physical address of a
11
named member or manager of such company or
12
corporation; providing an effective date.

Be It Enacted by the Legislature of the State of Florida:

Section 1. Subsection (6) of section 605.0113, Florida
17
Statutes, is renumbered as subsection (8), and new subsections
18
(6) and (7) are added to that section, to read:
19
605.0113 Registered agent.—
20
(6) Each limited liability company and each foreign
21
limited liability company that does not have a principal office
22
as defined in s. 605.0102 may designate the address of the
23
limited liability company's registered agent as its principal
24
office.

(7) A limited liability company or foreign limited
26
liability company that lists the address of its registered agent
27
as its principal office under subsection (6) must provide the
28
department with the physical address of a named member or
29
manager of such limited liability company. Section 2. Subsections (6) and (7) of section 607.0501,
31
Florida Statutes, are renumbered as subsections (8) and (9),
32
respectively, and new subsections (6) and (7) are added to that
33
section, to read:

607.0501 Registered office and registered agent.—
35
(6) Each domestic corporation and each foreign corporation
36
that does not have a principal office as defined in s. 607.01401
37
may designate the address of the corporation's registered agent
38
as its principal office.

(7) A domestic or foreign corporation that lists the
40
address of its registered agent as its principal office under
41
subsection (6) must provide the department with the physical
42
address of a named officer or director of such corporation.

Section 3. This act shall take effect July 1, 2026.
